  • In accessing and using the Platform, you must comply with these Terms of use.

  • You can access the Platform only if and when the license fee has been paid for your facility or organization.

  • The Platform is created to help you reduce environmental impacts such as greenhouse gas emissions, and to share your experiences with other users. You must use it for those purposes only.

  • The Platform allows you to share environmental metrics with the customers you supply. These metrics are only as accurate and complete as the data you input, which is your responsibility.

  • The content you post on the Platform must be appropriate, must not violate anyone else's rights, and must comply with the acceptable use policy (see sections 3 and 4). Inappropriate or unlawful content may be removed and deleted.

  • The public discussion boards on the Platform allow you to engage with other users outside of your business. Please be mindful about what you share with other users on public discussion boards.

  • Secaro will provide you with suggestions, data, and guidance on sustainability actions and may put you in touch with partners who could help you execute those actions. It is up to you to ensure that anything you learn and apply is appropriate for use in your organization.

  • Your content may be deleted when your access to the Platform terminates or expires, so you must download your data or ask for an export before that happens.

  • Our liability under this agreement is capped relative to the license fee you paid (see section 11).

Terms of use

Thank you for using the Secaro websites and software that are located at https://secaro.io and related subdomains including https://app.secaro.io (the "Platform").

The Platform and the Sustainability Services are provided by 2degrees Ltd ("2degrees" or "we"), a business registered in England and Wales with registration number 06485099 and with its registered office at 9400 Garsington Road, Oxford Business Park, Oxford, OX4 2HN.

As a user of the Platform, you are also eligible to receive guidance and advice to help you reduce greenhouse gas emissions as well as waste, and energy and water usage. These services may also include introductions to our partners who can help you achieve these objectives, for example by helping you access grants and green loans. These services are referred to as the "Sustainability Services" and are described in section 12 below.

The following Terms of use govern the relationship between you and 2degrees and your use of the Platform. Please read them, as well as our Privacy Policy located at https://app.secaro.io/privacy-policy.

By accessing or using the Platform, you agree to be bound by these Terms of use and acknowledge that you have read and understood them.

If you are using the Platform on behalf of, or as an employee of, a company or other legal entity, these Terms of use are binding both on that legal entity and on you as a user, and the terms "you" or "your" refer to both the entity and you as an individual. In such case you also confirm that you are authorised to agree to these Terms of use.

1. Registration and scope of use

1.1 You shall ensure that all of the data provided by you at registration is accurate and complete. You must include a valid business email address.

1.2 The Platform is restricted to individuals who are 18 years old and above. You must not register for or access the Platform if you are under 18 years old.

1.3 Login credentials for accessing the Platform (username and password) are personal to the individual user and you must not share them with, or disclose them to, anyone else.

1.4 Platform licenses are available per named facility (Facility License) or per organization (Enterprise License). These are non-transferable. Each Platform user account can be used by one named individual, identifiable by a unique email address. User accounts can be associated with one or more facilities within an organization (where relevant).

2. General obligations when using the Secaro platform

2.1 You must obtain the necessary permissions from within your organization, and from any relevant third parties, prior to submitting information or data to the Platform (for example permissions to share data, know-how, or personal information). 2degrees has no obligation to verify the authority of any user uploading such information or data.

2.2 You must ensure that all information, data or other information you submit to the Platform is complete, true and not misleading. The accuracy and completeness of the Platform is dependent on accurate and complete data from you.

2.3 Whenever you use the Platform, you must comply with the acceptable use policy set out in section 4 below. 2degrees reserves the right to terminate your access to the Platform immediately if it becomes aware that you are using it inconsistently with the acceptable use policy.

2.4 A high speed Internet connection is required to access and use the Platform. You are responsible for procuring and maintaining the network connections, browser software and devices required to access the Platform, and 2degrees does not provide any advice or support for those. 2degrees does not assume any responsibility for the availability, reliability or performance of any of the above connections or any computer networks or telecommunications facilities which are not owned, operated or controlled by 2degrees.

3. Compliance with competition law

3.1 When using or sharing information on or via the Platform, you must do so in compliance with competition law. This includes avoiding direct or indirect exchanges of Commercially Sensitive Information* or using the Platform for coordinating, or undertaking any joint activity, with your competitors. To this end you shall comply with the following rules: (a) You shall not disclose Commercially Sensitive Information on or via the Platform unless and until you have obtained appropriate clearances from your organisation authorizing the disclosure of such Commercially Sensitive Information as compliant with all applicable competition laws. (b) You shall not accept Commercially Sensitive Information received from other Platform users without first obtaining appropriate clearance from your organization. Pending such clearance you shall not use, share or respond to such Commercially Sensitive Information except as is necessary to obtain the clearance and conduct any required legal review. If you believe, or your legal advisers confirm, that Commercially Sensitive Information has been inappropriately shared, you shall notify 2degrees of the event without delay, and not use, share or respond to such information further on or via the Platform.

3.2 *Commercially Sensitive Information means any non-public information that could reasonably be expected to encourage, facilitate, constitute or imply anti-competitive practice, including information that reveals, directly or indirectly: (a) current or future commercial plans or strategies of any organization, (b) prices or other terms of sale, (c) investment or marketing plans (d) production or procurement costs, (e) market shares and sales territories, (f) bid details or bidding intentions (g) customer or supplier details and any criteria or intentions regarding their selection, rejection or termination.

3.3 2degrees does not provide any guarantees that there will not be Commercially Sensitive Information shared on the Platform by other users, nor is it obliged to carry out any monitoring of content. You are responsible for ensuring that your end-users follow the above rules, and for providing any necessary compliance training. 2degrees will not be liable to you for any breach of competition law by you or other users of the Platform.

3.4 If you notify 2degrees of Commercially Sensitive Information shared via the Platform, 2degrees will aim to respond quickly and appropriately including removing the content from the Platform, at its discretion. It is your responsibility to take appropriate actions to prevent the further distribution and use of inappropriately shared Commercially Sensitive Information by your organization.

3.5 If you are using the PCF functionality of the Platform, it is your responsibility to decide whether to share PCF results and breakdowns (including imported PCFs calculated off-platform) with the Supply Chain Owner. You will be able to make an election via the Platform in the PCF section in each instance. If you share imported PCFs with the wrong Supply Chain Owner, you must inform them and 2degrees without delay. 2degrees will not be liable in relation to any data shared as a result of a user error.

3.6 If you are using the PCF functionality of the Platform, you can build PCF data outside of a supply chain program for your own internal use, but you must not share the resulting PCF data with any third party. If you share PCF results with a Supply Chain Owner under a supply chain program, you must not share the PCF results with any of your other customers or any third party.

4. Acceptable use policy

4.1 You can use the Platform to investigate, prioritize, execute and manage environmental improvement and resource efficiency actions across your operations, and to share your experiences with other stakeholders. You are permitted to access and use the Platform and its contents, and to share information with other users, to the extent it is reasonably necessary for these purposes.

4.2 You must not use the Platform in the ways listed below (and any other way which is inconsistent with these Terms of use). For the purposes of this section 3, "Platform content" or "contents" includes adjacent websites and resources provided by Secaro in conjunction with the Platform, such as third party emission factor databases, the Secaro Help Center and the PCF Academy:

  • use any software or scripts (including web crawlers) other than a standard web browser;

  • delete, modify or otherwise interfere with any content made available by 2degrees or other Platform users;

  • distribute, publicly disclose, resell or otherwise make the Platform or any of its contents available to unauthorized users or for unauthorised purposes;

  • perform any actions which may impair the operability of the Platform, particularly actions which may overload the Platform or its associated infrastructure;

  • upload, post or otherwise make available any material that contains computer code, files or programs designed to interrupt, destroy or limit the functionality, or compromise the security of the Platform, or the information systems of its users;

  • use or attempt to use another user's login details or account (including the accounts of 2degrees staff) or otherwise attempting to gain unauthorized access to the Platform or its contents;

  • use the Platform to make unsolicited approaches (including sales and marketing) to other users;

  • communicate in any impolite, disrespectful, defamatory, insulting, degrading, discriminatory or sexual way (suggestive or explicit);

  • impersonate any person or entity, or falsely state or otherwise misrepresent yourself, or your affiliation with any person or entity;

  • share personal information with other users, unless you have a clear right to do so and it is proportionate to your legitimate use of the Platform;

  • create any derivative works, such as playbooks or database works, incorporating Platform content other than your own; or scope, benchmark, develop, or provide any similar or competitive product or service; or harvest business or personal information made available by other users;

  • decompile, reverse engineer, disassemble, extract or otherwise attempt to derive source code, source data or protocols from the Platform except and only to the extent provided by applicable laws;

  • use the Platform for competitive research or corporate espionage, or induce others to disclose inappropriate information, or coordinate any actions with competitors, or use or share competitively sensitive information contrary to section 3 above;

  • upload or share any content on the Platform, or otherwise use the Platform, in a manner which is inconsistent with the intellectual property, confidentiality or privacy rights of any third parties;

  • use the Platform to lobby or make political statements, or advocate any violent or unlawful actions against any government, organization, group, individual or property.

4.3 Any use by you which is inconsistent with this section 4 will constitute breach of the Terms of use and may result in termination of your access to the Platform at the discretion of 2degrees, and you shall indemnify 2degrees (including its personnel and affiliates) in respect of any liabilities, regulatory actions and third party claims resulting from such use by you. Third parties who own the intellectual property in databases incorporated in the Platform will have the right to take direct enforcement action against you, to stop you from using their intellectual property inconsistently with this section 4.

5. Suspension or termination of access to the Secaro Platform and Sustainability Services

5.1 We reserve the right, at our sole discretion and without liability, to suspend or terminate your access to the Platform and to any Sustainability Services if we have reason to believe that you have violated these Terms of Use or any applicable laws.

5.2 Where practicable, we will provide reasonable notice to you prior to any suspension or termination.

5.3 On termination or expiry, your access rights will be revoked and you will no longer be able to access the Platform or the Sustainability Services, including content you have uploaded to the Platform. The Platform permits you to download your data and content at any time, so you should download it before you lose access to the platform. Any data for which the Platform does not provide download functionality can be downloaded by 2degrees for you on request, provided you notify us of your request immediately following termination. Personal information on the Platform will be retained and deleted as described in our Privacy Policy at https://app.secaro.io/privacy-policy.

5.4 The following provisions will survive expiration or termination of the Services: sections 6 (intellectual property), 8 (data protection), 11 (limitations of liability), 13 (general) and 14 (notices). The Privacy Policy will continue to apply in respect of any personal information we retain.

6. Intellectual property, trademarks and copyright

6.1 The copyright, database rights and all other intellectual property rights in the Platform are owned and retained by 2degrees or its licensors. This applies to aggregated data and metadata generated by the Platform and to third party tools and databases (such as emission factors) made available on the Platform. Reproduction or distribution in any form of any part of the Platform or its contents, data and tools, is prohibited except as required for the normal use of the Platform consistent with these Terms of use.

6.1A The provisions of 6.1 do not apply to non-aggregated values and calculations which are specific to you, or to any raw data and inputs you upload, which you will continue to own.

6.1B The copyright, database rights and all other intellectual property rights in any Sustainability Services provided are owned and retained by 2degrees or its licensors. Reproduction, distribution or the creation of derivative works of any content, data and tools provided as part of the Sustainability Services, is prohibited.

6.2 In the event that you create any derivative work (including any database or information system) incorporating the content of the Platform or the Sustainability Services (other than your own) in breach of this section 6, you shall do one or more of the following at 2degrees' option: (a) assign the derivative work including the copyright and database rights (other than your own content) to 2degrees for a nominal consideration of one pound sterling; or (b) destroy all copies of the derivative work (other than your own content) and certify such destruction to 2degrees.

6.3 No rights are granted to the Platform, the Sustainability Services or their contents other than as expressly set out in these Terms of use.

6.4 No license or right to use any trademark or service mark of 2degrees or any third party is granted to you in connection with the use of the Platform.

6.5 In the event that you challenge the validity or enforceability of the intellectual property of 2degrees or its licensors in and to the Sustainability Services or the Platform and the content, data and tools made available on it, 2degrees may terminate your license to use the Platform (on notice or with immediate effect at its discretion).

6.6 If you use or exploit the Sustainability Services or the Platform or its contents, data and tools, or the intellectual property subsisting in any of them, contrary to these Terms of use, you shall indemnify 2degrees (including its personnel and affiliates) from any resulting claim or liability including claims by third party intellectual property owners.

6.7 2degrees confirms that (a) it is the owner of the intellectual property in the Platform and can license it to you without restrictions; and (b) use by you and your authorized users (in compliance with these Terms of use) will not infringe the intellectual property rights of any third party.

6.8 The use of certain third party tools made available by 2degrees via the Platform, may be subject to additional terms or disclaimers, which will be communicated to you separately or when you first access the tool. For example, the tool may be available for a limited period only, without any warranties and used at your own risk. Such legal notices will supplement these Terms of use in relation to that tool only, and in the event of a conflict will prevail in relation to their specific subject matter.

7. Information that you upload to the Platform

7.1 You can upload and post (for your own use or sharing with other users) messages, text, information, data, files, and other content to the Platform (collectively "your content") provided it is lawful and compliant with these Terms of use. The results of certain calculations performed by the Platform based on your inputted data (in particular product- and category-level PCF values and facility-level emissions) also form part of your content.

7.2 Subject to the rights granted to Secaro in these Terms of Use, you retain full ownership of your content and any intellectual property rights associated with it. Aggregated data and reports (derived from or incorporating your content) produced by 2degrees as described in section 7.4 below will be owned by 2degrees or by the Supply Chain Owner (as defined in section 12).

7.3 Unless you make your content available to other users of the Platform (for example by posting in a public discussion, or opting to share data with a customer), your content will remain visible within the Platform only to your organization. It is entirely your responsibility to manage how and what content you share with other users of the platform.

7.4 2degrees acknowledges that your content may contain confidential information ("your confidential information"). 2degrees will: (a) use your confidential information only to the extent reasonably necessary for the purposes of operating the Platform and providing you with Sustainability Services; (b) not disclose your confidential information to third parties or the public unless permitted under this agreement or you have given prior written consent (except to the extent it is required to be disclosed pursuant to the order of a court or governmental body); (c) take reasonable precautions to prevent unauthorized disclosure of your confidential information, which includes maintaining adequate security measures to safeguard your confidential information from unauthorized use, reproduction, disclosure or access (such measures being at least equivalent to those we apply for the protection of our own Confidential Information); (d) disclose your confidential information only to personnel, advisors, agents, subcontractors, and Affiliates who are performing activities in connection with the Platform or Sustainability Services provided that this is done so under appropriate non-disclosure agreements; (e) notify you as soon as reasonably practicable of any actual or suspected loss of documents, carriers or other media (including as a result of a hack), which may result in your confidential information falling into the hands of unauthorized third parties, and use its reasonable endeavors to prevent or limit further unauthorized disclosure.

7.5 You are solely responsible for your content. You must not upload it, post it, or share it with other users of the Platform, unless you are the owner of the content or have permission from the owner.

7.6 2degrees shall have the right to use your content in the following ways: (a) process, copy and distribute it for the purpose of providing the Platform to you; (b) anonymise and aggregate your data (for example, achieved savings) and use it to update the aggregated data made available by the Platform; (c) aggregate your actions with similar actions posted by other users, to develop new public actions available to Platform users; (d) indicate to other users that you are performing or have completed the same public actions, to enhance the community experience offered by the Platform (subject to available anonymity options, and we will not display contact details in any event); (e) generate and share reports and data to enable the Sustainability Services and the supply chain programs you are participating in as described in section 12 below; and (f) provide your data to 2degrees' auditors for the purposes of assuring that the Platform is generating accurate reports. Accordingly, by uploading, posting or sharing your content, you grant 2degrees an irrevocable, perpetual, non-exclusive, fully paid, worldwide license (with the right to sublicense to its suppliers and service providers) to use, copy, display, reformat, translate, excerpt (in whole or in part), create derivative works from and distribute your content for the above purposes only. 2degrees will put in place appropriate safeguards whenever we share your data, for example non-disclosure agreements with third party auditors.

7.7 We may delete content that you post or share at our sole discretion, without informing you, in the event that we believe that your content breaches any laws or these Terms of use or infringes the rights of any third party, or we are required to do so by a court or regulatory body, or for system maintenance or security reasons. In all other cases, content and data will be retained for the periods set out in our Privacy Policy (section 5, Retaining and deleting personal data), after which it will be permanently deleted.

7.8 If any of your content posted or shared on the Platform infringes the rights of any third party, or if you do not have the right to grant the licenses you grant to 2degrees under these Terms of use, you shall indemnify 2degrees (including its personnel and affiliates) from any resulting claim or liability.

8. Compliance

8.1 We will handle with care any personal information provided by you to 2degrees and will comply with applicable data protection laws. However it is entirely your responsibility to ensure that any personal information you share with other users on the Platform is done so lawfully.

8.2 2degrees will maintain administrative, physical and technical safeguards to protect the security, confidentiality and integrity of your data as required by law and accepted industry practices. These safeguards include encryption of your data in transmission (using SSL or similar technologies).

8.3 If 2degrees becomes aware of any unauthorized disclosure or loss of any personal information provided by you, 2degrees will notify you without delay, and will take measures to remedy or mitigate the data breach in cooperation with you.

8.4 2degrees will not transfer any personal information provided by you to a country or territory outside of the European Equivalent Protection Area, unless the transfer is made to a third party connected with the operation of the Platform or the Sustainability Services in the normal course of business, and lawful means are in place to ensure that the transfer is compliant with Data Protection Laws.

8.5 2degrees maintains policies and procedures (copies of which are available on request) to ensure that it complies with the following laws (in the territories in which 2degrees operates and to the extent they apply) in operating the Platform and providing the Sustainability Services: (a) law relating to the prevention of bribery, corruption and money laundering; (b) embargoes, sanctions and export control laws (with respect to the export and/or import of systems, dual-use items, materials, data, information and technologies comprised in the Platform); (d) laws relating to employment including employment rights, non-discrimination, minimum wage, working hours, freedom of association and the prevention of slavery, forced labour, human trafficking and child labour; (e) laws relating to the environment and health and safety in relation to its employees and facilities.

9. Payments, renewals and refunds

9.1 Your subscription to the Platform is payable annually in advance. 2degrees must have received payment of all subscription, license and service fees (together, "Fees") prior to your subscription start date, failing which any invoices issued by 2degrees for the subscription will be payable immediately. 2degrees reserves the right to suspend your access to the Platform if we do not receive payment on time, until it is received. Fees paid by you are non-transferable and non-refundable unless otherwise provided for in these Terms of use. These payment terms apply even if you use a third party payment provider, and override any other payment terms or conditions which you might communicate to 2degrees.

9.2 You may elect to terminate your subscription to the Platform as of the end of your subscription term by providing notice within thirty (30) days before the end of the subscription term. If you do not provide such notice, your subscription will renew for the same period again, and be charged as per our standard subscription charges at the time of renewal for the relevant service plan.

9.3 All Fees are stated exclusive of sales, use, excise, value-added, consumption or other similar taxes or duties (collectively "VAT"). 2degrees will invoice you for such VAT (if applicable) at the prevailing rate in addition to the Fees.

10. Availability and updates

10.1 The Platform will be accessible 24 hours a day, 7 days a week, except during maintenance periods, network or security incidents and other downtime events as described below. While 2degrees targets an availability rate of 99%, it does not warrant that access to the Platform will be uninterrupted or error free.

10.2 The Platform may become wholly or partially unavailable without notice in the event of: (a) network failures, interruptions, outages, delays, third party system unavailability or other connectivity problems, (b) suspension of the Platform by 2degrees in order to remedy a vulnerability or data breach likely to compromise the security of the Platform or of any user data, (c) routine or extraordinary maintenance or updates. In such an event, 2degrees will have no responsibility or liability towards you in relation to the unavailability of the Platform or any failure to notify you (though we will use our reasonable endeavors to keep you informed). Unavailability may be without notice in the case of unexpected incidents.

10.3 2degrees will make end-user support available by telephone each business day (Monday to Friday) during normal United Kingdom business hours (GMT 9am to 5.30pm as adjusted for summer time). Support requests or incidents can be raised through the Contact Us form found at the Secaro help center.

10.4 2degrees will assign a priority level to inbound support requests or incidents as follows: Critical: issues that either completely block the use of the Platform or are related to safety & security. High: issues preventing effective use of the Platform. Operational: questions, requests, or issues that do not adversely affect use of the Platform to a material extent, but require resolution.

10.5 2degrees' target response times: Critical: if relating to availability, automatically flagged by 2degrees' infrastructure service providers and immediately actioned on a 24/7 basis. All other critical requests will be reviewed on receipt within normal business hours and prioritized by 2degrees for immediate investigation and resolution. 2degrees will provide an initial response within 1 hour (during normal business hours), which will include a high priority resolution plan. High: reviewed on receipt within normal business hours and prioritized for immediate investigation. Initial response within 3 hours (during normal business hours). Operational: reviewed on receipt within normal business hours and prioritized for investigation and resolution based on severity/impact. Target initial response within 1 day (during normal business hours).

10.6 2degrees may at its discretion and without notice make upgrades, fixes or enhancements to the Platform or otherwise modify the Platform at any time.

11. Limitation of liability

11.1 The exclusions and limitations of liability in this section 11 apply to any liability of 2degrees as well as its directors, employees and agents. Nothing in these Terms of use excludes or limits liability that cannot be excluded or limited under applicable law, including for (a) death or personal injury resulting from negligence, fraud or fraudulent misrepresentation, and (b) wilful abandonment and/or gross negligence in those jurisdictions where liability for wilful abandonment and/or gross negligence cannot be excluded or limited.

11.2 The provisions of this section allocate the risks under these Terms of use between the parties, and you acknowledge that you have relied on these limitations in determining whether to agree to these Terms of use.

11.3 Although we use reasonable efforts to ensure that the Platform and its contents are accurate and complete, we do not guarantee this to be the case. 2degrees excludes any warranties or representations (express or implied) to the full extent permitted by law, that any information or recommendations you may obtain through the Platform are true, accurate, complete, or that they are fit for any particular purpose. Information contained on the Platform is not tailored to your individual situation and may be unsuitable for you, so its use is at your own risk. You must take adequate steps to verify the accuracy, completeness and suitability of any information contained on or received through the Platform. Values and calculations provided by the Platform may also be dependent on emissions factors derived from third party databases; 2degrees takes care to identify the best databases but does not independently verify their contents.

11.4 2degrees will only be liable for direct reasonably foreseeable losses. 2degrees will not be liable to you or any third party for any indirect, incidental, special, or consequential damages, whether in contract, tort or otherwise, or for any lost profits, lost sales, lost revenue or business, loss of goodwill, loss of anticipated savings, lost data or business interruption.

11.5 2degrees' total liability to you for all claims (whether arising in contract, tort, negligence, statutory liability or under any other theory of liability) under these Terms of use and in relation to the Platform or its unavailability will be limited to either: (a) the subscription, license and service fees (together, "Fees") payable by you for the subscription period in which the first event giving rise to a claim arose; or (b) 150% of the Fees payable by you for the subscription period in which the first event giving rise to a claim arose, in the event that a court or public body of competent jurisdiction determines that the liability cap in paragraph (a) above cannot be applied for any reason, or in the event of 2degrees' breach of its data protection obligations in respect of your personal data.

11.6 2degrees applies industry best practice and works with leading hosting providers to ensure that the Platform is free of harmful code and will not transmit any software or code which may adversely affect the operation or integrity of your software, hardware, network or data. 2degrees' information security management system (ISMS) means that it has development and operational processes (including frequent testing) to minimize such risks. However, access to and use of the Platform is subject to risks inherent in information technology networks such as computer virus infection, spyware, malicious software, trojans and worms which may be outside of the control of 2degrees. 2degrees does not warrant that the Platform will never transmit harmful code from third party or your sources which are outside of its control. Except in the event of intentional misconduct, negligence or material breach of this agreement, 2degrees will not be liable for any damage to Customer's systems, data or property resulting from such risks.

11.7 Links to external websites (including service providers or resources) may be made available on the Platform, or may be posted by other users, for you to access at your sole discretion. We are not responsible for the availability or accuracy of such websites and we do not endorse them. 2degrees will not be liable, directly or indirectly, for (i) the privacy practices of such websites, (ii) the content of such websites, (iii) any information, advice or assistance you may obtain from such websites, (iv) any damage, loss or offense caused by your use of such websites or the content, products, goods or services available on them.

11.8 Events beyond our control (including disruptions in public communication infrastructure, power failures, equipment failures, strikes, natural disasters, fires, terrorism, civil unrest, war and pandemics and associated restrictions and supply chain disruption), may result in temporary or permanent malfunctions of the Platform or in your access to the Platform. Such events will not be considered a breach of 2degrees' obligations towards you, which will be suspended for such time as such events continue. The preceding will not apply to delays or failure by our subcontractors or suppliers except where such delay or failure is itself caused by an event of the type described above.

11.9 2degrees is not liable for any material uploaded to the Platform by third party users in breach of 2degrees' acceptable use terms.

11.10 If you enter into agreements with other users of the Platform, you alone are responsible for their fulfillment. 2degrees will not be a contracting party and will not be liable for any failure by you to comply with such agreements (including if you are unable to contact other users through the Platform)

12. Supply chain programs

12.1 This section 12 applies to you if you have opted in to sharing data with your customers ("Supply Chain Owners") on the Platform, and/or if you are selected to receive Sustainability Services (as defined in the Introduction to these Terms of use).

12.2 You acknowledge that in signing up to the Platform: (a) you are benefiting from 2degrees' contract with the Supply Chain Owner, under which the Supply Chain Owner is able to access (and to share with its auditors) certain metrics and data from 2degrees as described in sections 12.3-12.7 below. You may have been eligible for a license fee discount which is conditional on your compliance with the terms of this section; and (b) you become eligible to receive Sustainability Services to help you reduce greenhouse gas emissions as well as waste, and energy and water usage, and obtain green finance, including through introductions to specialist vendors who have been carefully selected by us and your Supply Chain Owner as partners ("Decarbonisation Partners") to help you achieve those objectives. 2degrees is not obliged to provide any Sustainability Services: they are entirely at the discretion of 2degrees. The Sustainability Services are at no extra cost to (you will only need to pay for services you agree to receive from Decarbonisation Partners). A list of Decarbonisation Partners is available at https://secaro.io/about-us/our-partners. You accordingly agree to 2degrees collecting, processing and sharing certain metrics and data with the Supply Chain Owner and Decarbonisation Partners within the limits specified below.

12.3 2degrees will provide certain metrics and data to the Supply Chain Owner, including: (a) metrics relating to your use of the Platform (for example the date a member of your facility team last accessed the Platform); (b) your annual environmental impacts (for example, CO2 footprint & waste to landfill including at site and organisation level) based on data you input in the 'measurements' page; (c) your environmental Action Plan (for example the actions you have shortlisted or completed, and the environmental impacts of those actions). 2degrees will not disclose any financial costs or savings; (d) product carbon footprint (PCF) data, which includes emissions data (e.g., kg CO2e/ kg emissions) attributed to individual products or product categories, where you have provided data through the PCF section of the Platform and elected to share the PCF results with your Supply Chain Owner. This same applies to externally generated PCFs or Life Cycle Assessments (LCA's) which you upload to the Platform. 2degrees will share breakdowns of PCF results (e.g. emission breakdown by life cycle stage) with Supply Chain Owners only if you have elected to share the breakdown.

12.4 In relation to the metrics described in 12.3(a)-(c) above, the Supply Chain Owner may (a) publish the metrics in its corporate sustainability reports or share them with relevant stakeholders for similar reporting, publicity or advocacy purposes, and (b) share the metrics down to its supply chain where it considers that to be of value to its supply chain, in each case subject to anonymising your individual site and organisation's details.

12.5 2degrees may share your raw data with the Supply Chain Owner's auditors for the purposes of (a) auditing samples of data to provide assurance that the Platform is delivering valid metrics; and (b) certifying the Supply Chain Owner's own sustainability reporting.

12.6 2degrees will provide certain metrics and data to Decarbonisation Partners, as follows: (a) anonymised data relating to your site(s) to enable relevant Decarbonisation Partners to assess the feasibility of a product offering to you. 2degrees will not share wholesale data, but only targeted data and only in relation to such site(s) as is relevant to a particular Decarbonisation Partner in view of the specialised product or service they offer; and (b) one or more of your organization's business contact details where a Decarbonisation Partner has been assessed as having an offering relevant to your site's profile, by way of an introduction to that Decarbonisation Partner. 2degrees will make introductions only in accordance with, and if permitted by, applicable laws in your jurisdiction. You may opt out of receiving Sustainability Services (including introductions to Decarbonisation Partners) at any time by notifying 2degrees at customerservice@secaro.io.

12.7 To protect the confidentiality and security of your data, 2degrees will never disclose the following metrics to the Supply Chain Owner or any Decarbonisation Partners: (a) your 'facility's total production' and any data in the '% allocation to customer'; these are only used to normalize other data (for example CO2e per tonne, or CO2e apportionable to a specific customer); and (b) any financial data you choose to input against actions in your action plan, or for your utility bills; these are optional fields some participants find useful to use when using the Platform as a way of supporting their action plans; (c) product or material lists, bills of materials, or any primary emission factors used to compile PCF results; (d) while 2degrees will disclose product-level PCF results to Supply Chain Owners, their rights to access and use the PCF results will be subject to the following limitations: (i) PCF results will only be accessible to the Supply Chain Owner's authorised personnel; (ii) Supply Chain Owners will have the right to use the PCF results internally for benchmarking purposes, to report aggregated anonymised PCF data in their corporate sustainability reports and similar public disclosures, and to disclose PCF results to their auditors as permitted in section 12.5, but not to disclose PCF results to any other third parties.

12.8 To ensure that the Supply Chain Owner is able to receive adequate metrics and reports, you shall (a) update the Platform at least once every six months; and (b) participate in periodic phone calls with the Platform team for review and feedback. Your feedback and take-aways from the review sessions may be shared with the Supply Chain Owner to help continually improve the service.

12.9 To the extent that anything in this section 12 requires 2degrees to use and share your content (i.e. the content you post on the Platform and the data your input into the Platform or which the Platform calculates for you), such content shall be treated as included in the usage rights that you grant to 2degrees under section 7.5.

12.10 If the Supply Chain Owner does not renew its contract with 2degrees at the end of any subscription period, you are welcome to re-subscribe to the Platform as an independent user on normal (undiscounted) licensing terms. If the Supply Chain Owner terminates its contract with 2degrees early during an applicable subscription period, you are free to continue to use the Platform as an independent user until the end of your subscription period and any discount will remain in place until the end of the subscription period.

12.11 In cases where your Platform licenses are being funded by a Supply Chain Owner to participate in their supply chain engagement program: (a) 2degrees reserves the right to limit access to the Platform, and its functionality, as agreed with the sponsoring Supply Chain Owner; and (b) if you choose to participate in other Supply Chain Owner programs, where funding is not provided, 2degrees reserves the right to charge you the standard applicable license fee. In these cases, 2degrees will notify you, and give you the option to amend the Supply Chain Owner programs you are participating in, if you do not wish to be charged.

13. General

13.1 These Terms of use are governed by and construed in accordance with the law of England and Wales, and the courts of England and Wales will have exclusive jurisdiction in the event of any claim or dispute.

13.2 Any delay or failure by 2degrees to exercise or enforce any right under these Terms of use will not constitute a waiver of such right.

13.3 If any provision of these Terms of use is, for any reason, found by a court of competent jurisdiction to be invalid and/or unenforceable, the remaining provisions shall continue to be valid and enforceable to the fullest extent permitted by law. You agree to the replacement of any invalid and/or unenforceable provision with a valid and/or enforceable provision which most closely approximates the intent and economic effect of the invalid and/or unenforceable provision.

13.4 Any claim arising out of your use of the Service must be communicated to 2degrees within 30 days of you becoming aware of the circumstances of the claim (such as incurred losses or receipt of a third party claim), and any formal claim must be filed within 6 months of such event. Any claims raised outside of the period will not be valid.

13.5 We reserve the right to use your business / organization name and logo on the Platform in the normal course of its operation, such as on your own pages and the pages of your supply chain partners, as well as on community pages and discussion feeds you participate in, to indicate your presence on the Platform. Unless you notify 2degrees otherwise, we will also identify you as a Platform customer, on our website and in other communications materials provided to investors and to potential customers to encourage responsible brands to join the Platform.

13.6 We reserve the right to amend these Terms of use at any time, in which case we will post the updated Terms of Use on this page. We will aim to keep you informed, but you must check this page periodically for updates. Any such changes will become effective upon the earlier of (a) your use of the Service after you have been informed of the change, or (b) fifteen (15) days after the amendment is posted. In the event that you do not accept any amendments to the Terms of use, you must cease to use the Service and notify 2degrees accordingly.

13.7 The following rules of interpretation apply to these Terms of use: (a) any phrase introduced by the term "including" is non-exhaustive and does not limit the sense of the words preceding those terms; (b) any reference to "notifying" or giving a "notice" means in writing in accordance with the provision below.

13.8 The rights granted to you under these Terms of use are personal to you. You may not assign or sub-license those rights to anybody else.

14. Notices

14.1 You may submit all notices to 2degrees by email using the address customerservice@secaro.io and cc'd to your primary account contact at 2degrees (if you have one). Alternatively you may submit notices to our registered office address as detailed at the start of these Terms of use, with a copy by email to the above email address(es).

14.2 We will send notices to you at the email address you have provided as your primary account contact, or to your registered office address.
